By accessing or using the website https://www.teamonyxai.com, or any software, platform, products, or services provided by Onyx AI (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Services.
Onyx AI provides AI-powered virtual receptionist and business automation software intended to assist with call handling, appointment scheduling, customer routing, and related communication tasks. The Services are provided solely as a business automation tool. Onyx AI does not guarantee any specific results, outcomes, revenue increases, cost savings, customer satisfaction, or operational performance.
The Services are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, Onyx AI expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or uninterrupted availability. Onyx AI does not warrant that calls will always be answered, appointments will always be scheduled correctly, AI responses will be accurate or complete, or that the Services will meet your business needs.
To the fullest extent permitted by law, Onyx AI, its owners, officers, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost revenue or profits, missed calls or leads, incorrect scheduling or routing, business interruption, customer dissatisfaction, data loss, reputational harm, or decisions made based on AI-generated output, even if advised of the possibility of such damages.
You acknowledge that the AI system operates using probabilistic models and automation logic and that AI-generated responses may be incomplete, inaccurate, delayed, or inappropriate. You are solely responsible for reviewing, monitoring, and validating all AI interactions. Onyx AI does not provide legal, financial, medical, or professional advice and does not replace human judgment.
You are solely responsible for proper configuration and use of the Services, monitoring AI interactions, compliance with all applicable laws and regulations, and informing callers or customers when required by law that they may be interacting with artificial intelligence. Onyx AI is not responsible for misuse, misconfiguration, or failure to supervise the Services.
Onyx AI does not provide staffing, employment, call center, or human receptionist services. Nothing in these Terms creates an employer-employee relationship, agency relationship, partnership, joint venture, or staffing arrangement.
The Services may integrate with third-party platforms, telecommunications providers, payment processors, or software services. Onyx AI is not responsible for third-party outages, failures, delays, errors, data handling practices, or service interruptions. Use of third-party services is governed by their respective terms.
You agree to defend, indemnify, and hold harmless Onyx AI from any claims, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from your use of the Services, your business operations, claims by your customers or callers, reliance on AI output, or violation of any law or regulation.
You acknowledge that you do not rely on the Services as the sole means of operating your business or making critical decisions. Any reliance is entirely at your own risk.
All fees are non-refundable unless otherwise stated in writing. Failure to pay may result in suspension or termination of access to the Services without liability.
Onyx AI reserves the right to suspend or terminate access to the Services at any time, with or without notice, for any reason, including misuse or violation of these Terms.
All software, systems, branding, content, and intellectual property associated with the Services are the exclusive property of Onyx AI. No rights are granted except as expressly stated.
MANDATORY ARBITRATION AND CLASS ACTION WAIVER. Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Onyx AI shall be resolved exclusively through binding arbitration on an individual basis under the rules of the American Arbitration Association. You waive any right to a jury trial and any right to participate in a class, collective, representative, consolidated, or private attorney general action. Either party may seek injunctive or equitable relief in a court of competent jurisdiction solely for intellectual property or unauthorized use claims.
TIME LIMITATION ON CLAIMS. Any claim or cause of action arising out of or relating to the Services or these Terms must be brought within one (1) year after the claim arises or it is permanently barred.
FORCE MAJEURE. Onyx AI shall not be liable for any failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, power outages, internet or telecommunications failures, labor disputes, governmental actions, or third-party service failures.
ELECTRONIC ACCEPTANCE. By accessing the website, creating an account, submitting information, completing a purchase, or using the Services, you acknowledge that you have read, understood, and agree to these Terms and the Privacy Policy, and that this constitutes a legally binding electronic agreement.
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and Onyx AI regarding use of the Services and supersede all prior agreements or understandings.
